Rory has an extensive background in advising clients on the tax aspects of mergers and acquisitions and dispositions, including due diligence, deal structuring and exit considerations. Rory has presented before the New York State
Society of CPAs on a variety of topics, including the various tax considerations of acquiring or disposing of a partnership interest. Prior to joining Baker Tilly, Rory served as a Senior Tax Manager in the mergers and acquisitions and real estate departments of a Big Four accounting firm, servicing some of the largest investment partnerships in the world. Specific experience: - Consults on tax aspects of structuring and financial
modeling for both corporate and partnership acquisitions, mergers, and divestitures, including the merger of the two largest professional services firms in their industry in the
U.S. and the spin-off of the real estate assets of one of the largest retailers in the U.S
- Experience structuring and performing due diligence on multiple single asset REIT acquisitions with an eye towards FIRPTA planning for foreign investors - Experience advising on multiple 1031 exchanges and provided alternative structures for partners that do not participate in the exchange - Frequently consults on the tax consequences of the
conversion of debt to equity and mitigating the consequences of COD income. - Advises partners and provides modelling for optimal 704(c) methodology Industry involvement
