M&A - A Modern Growth Path

Andrew Suh is a partner of the Firm and is responsible for leading buy-side and sell-side transaction advisory services including due diligence assistance (accounting, financial, tax), purchase agreement vetting, closing and post-deal assistance to corporations, private equity investors and their portfolio companies.

With over 16 years of international experience, Andrew had been part of the transaction advisory services practices of two “Big 4” international accounting firms. Previously, he was the CFO of a private equity backed technology company which he guided through multiple acquisitions and ultimately a successful exit for the private equity sponsor and management shareholders.

Andrew has provided clients with assistance in over 150 transactions including significant software and technology experience where he advised on critical metrics such as recurring revenue streams, customer and user churn, bookings momentum, and customer acquisition costs. He has also worked on deals ranging in value from $5 million to $2 billion in other industries including: media/entertainment, telecommunications, life sciences, healthcare, business services and consumer products. In addition, he has advised on a number of cross-border transactions involving, Canadian, Australian, South American, European and Asian entities.

Peter Rothschild has been involved in both investment and merchant banking for over 40 years. During this time, he has been engaged in over a 100 transactions aggregating tens of billions of dollars, including mergers and acquisitions, capital raising, restructuring, corporate advisory work and principal investing. On the advisory side, Mr.nRothschild’s clients include publicly traded companies, private companies, private equity firms, hedge funds and mezzanine lenders. The industries he has focused on range from industrials including aerospace, automotive, paper and packaging, building products,chemicals, energy, and general manufacturing; healthcare; textile;apparel; consumer; distribution; defense to services including
restaurants and financial services.

Mr. Rothschild is a partner and group head at East Wind Advisors and its affiliated companies. He advises clients on financings, mergers and acquisitions and restructurings. East Wind is registered with the SEC as a broker dealer and a member of FINRA (Financial Industry Regulatory Authority) and SIPC. Mr.. Rothschild joined East Wind as a result of merging a broker dealer he founded in
2002 with East Wind in 2018. For 20 years prior thereto, Mr. Rothschild was a senior banker and group head at the following global investment banks: Dresdner Kleinwort Wasserstein, Bear, Stearns & Co., and Drexel Burnham Lambert. Mr. Rothschild has also served on the boards of directors of several companies including Rexnord Corporation, MAG Aerospace and as Chairman of the Board of Deerfield Capital Corp. (now known as F.A.B. Partners). He currently is a member of the board of directors of The Wendy’s Company where he serves as Chair of the Compensation and Human Capital Committee and Nominating and Corporate
Governance Committee. He also serves or has served on the board of directors and advisory boards of several non-profit organizations, including the Tufts University School of Engineering, Tufts University Derby Entrepreneurial Center, Middle Market Alliance of Long Island, Mount Sinai Department of Medicine and the President of Bull’s Bridge Golf Club, which is the owner of a Tom Fazio designed Championship golf course.

Rob Basso is a seasoned entrepreneur, published business book author and national business media commentator.  As an entrepreneur, he successful built and sold two Inc. 5000 payroll/human capital management companies to large public companies and has been part of many multi-million-dollar deals.  He served as a vice-president of Asure Software, a public company, with over 80,000 customers and offices across the United States.  During his time with Asure he increased national sales by 50 percent. 

For the past two decades, he has focused on building companies, leading sales teams and developing new business opportunities. Rob owned and operated a merchant service company insurance agency as well as invested in more than 10 companies in a variety of sectors including technology, aviation, real estate and Broadway theatrical productions. 

Rob is a marketing innovator, who leveraged the power of video and social media early in his businesses. He was a pioneer in producing web video focused on helping business face and overcome challenges and produce and stared in his own fitness video created for busy business executives.

Rob has received many business recognitions for customer service, business leadership, marketing and corporate culture. The companies he has founded have received numerous awards, including being named to the Inc. 5000 on two occasions.

Rob is a small business advocate and regularly provides his comments and expertise to businesses and news media. He has been interviewed on local and national TV over 100 times, appearing on Fox News, Fox Business, MSNBC, News 12 Long Island and featured in Entrepreneur, Time, Newsday, The New York Times, AP, Reuters and Long Island Business News.

A professional speaker, Rob has presented and shared his knowledge with groups across the nation about his successful business approaches and concepts. Rob has addressed many organizations, including giving the keynote address for the Small Business Administration’s Small Business Awards in NYC. His book, “The Everyday Entrepreneur,” was published by John Wiley & Sons.

Rob is a dedicated supporter of not-for-profit organizations. He and those he has led donate hundreds of hours to charity and raise funds and awareness for many organizations. He is a high-performance sports car enthusiast and enjoys outdoor activities, including biking and snowboarding. Rob graduated from Hofstra University in 1994 and holds a degree in history-education. He lives in Plainview, New York with his wife Mary Beth and their two children, Skylar and Nick

Gavin is a Partner at Ruskin Moscou Faltischek P.C., and a member of the firm’s Corporate & Securities Department, International Practice Group and Cannabis Law Group.

 Gavin counsels entrepreneurial, family and institutional businesses and their owners in all material aspects of their business lives, ranging from early-stage through growth and maturity to exit. He regularly represents new and seasoned enterprises in the areas of business formation, owner and investor relationships, executive compensation, equity incentives, deal structure and strategy, and business succession. Gavin also guides clients in capital formation and financings through angel, venture and institutional investments; private placements and public offerings of equity and convertible securities; and debt financings. He counsels businesses in a broad array of their material commercial relationships including, among others,  manufacturing, distribution, licensing, e-commerce; technology and joint ventures. Gavin routinely acts for strategic and financial buyers and sellers in business mergers, acquisitions, and sales. He advises company boards of directors and managers on their duties and responsibilities, and on corporate governance issues. He also represents public companies in all facets of securities regulation, compliance and reporting.
